1. Introduction
These Terms of Service govern your use of the Boutinly website (https://boutinly.com) and the AI workflow integration services we provide. By engaging our services or using this website, you agree to these terms.
2. Services
Boutinly provides AI workflow integration services - including workflow intelligence audits, custom AI integration into existing tools (Excel, Outlook, Word, and others), process automation, and ongoing AI optimisation. Every engagement starts with a free discovery call and workflow assessment. The scope, timeline and deliverables of paid engagements are defined in a separate Statement of Work agreed by both parties before work begins.
3. Free workflow assessment
Our free 30-minute workflow assessment is a no-commitment discovery session. During the assessment we discuss your current workflows, tools and pain points. You receive a summary of AI opportunities identified. There is no obligation to proceed to a paid engagement.
4. Intellectual property
Any AI models, automations, configurations or custom code we build specifically for your engagement belong to you upon full payment. We retain rights to our general methodologies, tools and pre-existing frameworks. You retain full ownership of your data at all times - we do not claim any rights over your business data, documents or processes.
5. Confidentiality
We treat all information about your workflows, tools, systems and business operations as confidential. We will not disclose your confidential information to third parties without your prior written consent, except as required by law. This obligation survives the termination of our engagement.
6. Limitation of liability
To the fullest extent permitted by applicable law, Boutinly's total liability for any claim arising from our services is limited to the fees you have paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential or special damages. Nothing in these terms excludes liability for death or personal injury caused by negligence, or for fraud.
7. Client responsibilities
You agree to provide reasonable access to the team members, tools and systems necessary for us to deliver the services. Timely feedback and approvals help us meet agreed timelines. You are responsible for maintaining backups of your data - while we take care not to disrupt your systems, no integration process is entirely risk-free.
8. Payment terms
Payment terms are defined in each Statement of Work. Unless otherwise agreed, invoices are payable within 30 days of receipt. Late payments may incur interest at the statutory rate. All fees are exclusive of applicable taxes.
9. Termination
Either party may terminate an engagement with 30 days' written notice. On termination, you pay for work completed up to the termination date. Provisions relating to confidentiality, intellectual property and liability survive termination.
10. Governing law
These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts.
11. Changes to these terms
We may update these terms from time to time. The latest version will always be available on this page. Continued use of our services after changes are posted constitutes acceptance of the updated terms.
